This is Giga Mac, he is in a vs. match against another player in Punch Out Wii. If you land enough hits, Little Mac drinks "something" and grows to be Giga Mac.

If i'm not mistaken it's a sort of power-up in Punch-Out Wii's multiplayer; When you have enough "juice" you can turn into Giga Mac.
